Terms of Service

Welcome to ExitLoop, LLC (“ExitLoop,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our websites, services, software, tools, and products, including AI automation systems, consulting services, and operational improvement programs (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and able to enter into legally binding contracts to use our Services. By using our Services, you represent that you meet these requirements.

2. Services Overview

ExitLoop provides AI automation consulting, workflow optimization, and subscription-based tools designed to help service-based business owners save time, reduce operational bottlenecks, and scale efficiently. We offer:

AI chatbots, voice agents, review generators, and automation stacks Strategic consulting and implementation (“AI-COO” services) Tools for customer follow-up, lead capture, and operational automation

3. Payment Terms

All fees are due in advance and non-refundable unless otherwise stated in a signed agreement. Payment must be made via ACH, credit card, or approved method.

Setup Fees are charged upon agreement execution and required to begin services. Monthly Subscription Fees are charged on a recurring basis and due on the same calendar day each month. Late payments may result in service suspension and a late fee of 1.5% per month.

4. Client Responsibilities

By using our Services, you agree to:

Provide timely access to your systems, team, and data Attend scheduled implementation or strategy sessions Maintain any third-party tools required for your automation Not misuse, resell, or reverse-engineer any of our tools or systems

You are solely responsible for your business outcomes and how you implement our recommendations.

5. Intellectual Property

All content, code, automations, frameworks, dashboards, and intellectual property provided by ExitLoop remain our property. You are granted a non-exclusive, revocable license to use them only as part of our Services. You may not reproduce or redistribute these assets outside of your use as a client.

6. Confidentiality

We treat your data, strategy, and operations as confidential and expect the same in return. Both parties agree not to disclose proprietary or sensitive information unless required by law or agreed in writing.

7. No Guarantees or Warranties

All services are provided “as is.” While we strive to deliver measurable outcomes (such as hours saved or conversion improvements), we do not guarantee specific financial results, outcomes, or performance metrics. Outcomes may vary based on your implementation and business context.

8. Limitation of Liability

To the fullest extent permitted by law, ExitLoop shall not be liable for any indirect, incidental, special, or consequential damages—including lost profits, business interruption, or data loss. Our total liability shall not exceed the amount you paid us in the previous 12 months.

9. Termination

You may cancel any ongoing Services with 30 days’ notice unless a specific term (e.g., 90-day commitment) is stated in your agreement. We reserve the right to terminate or suspend services if you breach these Terms, miss payments, or misuse our systems.

10. Dispute Resolution

Any disputes will first be addressed through good faith negotiation. If unresolved, the matter shall be submitted to binding arbitration in Salt Lake City, Utah, under the rules of the American Arbitration Association.

11. Modifications to Terms

We may update these Terms from time to time. Changes take effect upon posting to this page. Your continued use of the Services after changes means you accept the updated Terms.
